Unit Sponsorship by Not-For-Profit

I am forming a new Troop. My Pack is sponsored by a Park District,
but that was formed 43 years ago. When I have gone to them to
get my Troop sponsored, the Board is very willing, but their
lawyer has talked them into asking for conditions that we cannot
fulfill (e.g., we will allow any interested person in the Park
District to join).
Because of that, I am looking into forming a not-for-profit corporation
that will be chartered as the Troop's sponsor. If anyone here can give
me some examples of a set of by-laws for such a group, I would be
very, very grateful. I have a lawyer who will do the work of adapting
anything I give him to fit Illinois law, but I figure that I will get
much better response from him if I can give him something to work with.
